Agreement to These Terms

These Terms of Service (the "Terms") form a binding agreement between you and I-Tech Platform Limited, a company incorporated in the Federal Republic of Nigeria with its registered office at 10th Floor, Unity Bank Building, Central Business District, Abuja, FCT, Nigeria ("I-Tech", "Flopay", "we", "us", or "our"). They govern your access to and use of:

  • our marketing website at https://flopay.net (the "Website");
  • our web application (the "Web App");
  • our mobile applications available on Google Play and the Apple App Store (the "Mobile App"); and
  • any related features, content, and support we provide.

We refer to the Website, the Web App, and the Mobile App together as the "Services." The Web App and the Mobile App together are the "Platform."

By creating an account, registering, or otherwise accessing or using the Services, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree, you must not access or use the Services.

If you are accepting these Terms on behalf of an organisation (such as a government Ministry, Department, Agency, school, or other institution), you represent and warrant that you have the authority to bind that organisation, in which case "you," "your," or "Organisation" refers to that organisation.

Definitions

Organisationthe government Ministry, Department, Agency (MDA), educational institution, corporate entity, or other body that registers for and uses Flopay to manage revenue collection from its Payers.
Authorised Useran individual (such as an administrator, revenue officer, or agent) whom the Organisation permits to access the Services on its behalf.
Payeran individual or entity that makes a payment through Flopay to an Organisation (for example, a citizen paying a levy, a student paying a fee, or a business remitting a payment).
Agentan individual authorised by an Organisation or by I-Tech to facilitate, collect, or process payments and transactions on behalf of Payers through the Platform.
Accounta registered account on the Platform, whether held by an Organisation, a Payer, or an Agent.
Transactionany payment, collection, invoicing, or fund movement processed through the Platform.
Customer Dataall data, content, and information that an Organisation, Payer, or Agent submits to or processes through the Platform.

Eligibility and Account Registration

To use the Services, you must be at least 18 years old (or the applicable age of majority) and able to form a legally binding contract, or you must be duly authorised to act on behalf of an Organisation. You agree to provide accurate, current, and complete information during registration and to keep it up to date.

You are responsible for safeguarding your login credentials, transaction PIN, and any other security credentials, and for all activity that occurs under your Account. You must notify us promptly at info@itechplatform.net if you suspect any unauthorised access to or use of your Account. We are not liable for any loss arising from unauthorised use of your Account that results from your failure to keep your credentials secure.

The Services and Licence to Use

Flopay is a fintech platform that enables Organisations to collect, process, manage, and reconcile revenue from Payers. Depending on configuration, the Services may include invoicing, bank branch management, payment collection, receipt generation, agent-assisted collections, and revenue reporting and analytics.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable right to access and use the Services for their intended purpose during your use of the Platform. The specific features available to you depend on your role (Organisation, Payer, or Agent) and configuration. We may add, modify, or remove features over time as described in Section 17.

Payments, Transaction Fees, and Third-Party Payment Processors

5.1Payment processing

Flopay facilitates payments using licensed third-party payment processors, including but not limited to Monnify and Remita. When you make or receive a payment through the Platform, you are also subject to the terms and conditions of the applicable payment processor.

5.2Transaction fees

I-Tech earns revenue through a percentage-based fee applied to transactions processed through the Platform on behalf of an Organisation. Applicable fees, where charged to a Payer, will be disclosed before a transaction is confirmed.

5.3Transaction accuracy

You are responsible for reviewing all transaction details (including amount, recipient, and account information) before confirming a payment. Once a transaction has been submitted and processed by the relevant payment processor or bank, it may not be possible to reverse it.

5.4Failed or delayed transactions

We are not responsible for delays, failures, or errors caused by third-party payment processors, banks, network providers, or factors outside our reasonable control. Where a transaction fails after funds have been debited, we will work with the relevant payment processor to investigate and resolve the matter, but we do not guarantee a specific resolution timeframe.

5.5Refunds

Flopay does not independently guarantee refunds. Where a Payer believes a transaction was made in error or a refund is warranted, the request will be reviewed in line with the policies of the relevant Organisation and payment processor. Confirmed refunds will be processed within a reasonable timeframe but may be subject to delays caused by banks or payment processors.

Organisation Responsibilities

If you register or use the Services on behalf of an Organisation, you are responsible for:

  • using the Services lawfully and in accordance with these Terms;
  • the accuracy of invoices, levies, fee structures, and bank branch details configured on the Platform;
  • ensuring Authorised Users and Agents acting on your behalf comply with these Terms;
  • obtaining all necessary consents and providing required notices to your Payers regarding the processing of their personal data through the Platform; and
  • reconciling and verifying revenue records and reports generated by the Platform.

Payer and Agent Responsibilities

If you use the Services as a Payer or Agent, you are responsible for:

  • providing accurate payment, identification, and bank account information;
  • ensuring you have the authority to make payments on the account or instrument used;
  • keeping your login credentials and transaction PIN confidential; and
  • where acting as an Agent, accurately representing transactions made on behalf of a Payer or Organisation.

Acceptable Use

You must not, and must not permit any Authorised User, Agent, or third party to:

  • use the Services for any unlawful, fraudulent, or harmful purpose, including money laundering or terrorism financing;
  • provide false identification, bank, or payment information;
  • upload or transmit any content that is unlawful, infringing, defamatory, or that violates the rights of others;
  • introduce malware, viruses, or other harmful code;
  • attempt to gain unauthorised access to the Services, other accounts, or our systems;
  • copy, modify, reverse engineer, decompile, or create derivative works of the Platform, except to the extent permitted by law;
  • resell, rent, sublicense, or otherwise make the Services available to third parties except as expressly permitted; or
  • circumvent or interfere with any security, transaction limits, or access controls.

We may investigate suspected violations and take appropriate action, including suspension, transaction reversal where legally possible, or termination, and may report suspected fraud to relevant authorities.

Identity Verification (KYC)

To comply with applicable financial regulations and to protect against fraud, we may require you to provide identity verification information, which may include your Bank Verification Number (BVN), National Identification Number (NIN), or other government-issued identification, before you can fully access certain features of the Platform, including making or receiving payments. We may suspend or restrict access to the Services until required verification is completed.

Account Deletion

You may request deletion of your Flopay account at any time.

10.1How to request deletion

Account deletion requests can be made within the app (Settings) or by contacting us at info@itechplatform.net.

10.2What happens on deletion

Upon a verified deletion request, we will deactivate your account and remove your personal data from active systems, except where we are required to retain certain data (such as transaction records) to comply with applicable financial, tax, or regulatory record-keeping obligations under Nigerian law. Retained data will be securely stored and used solely for legal or compliance purposes.

10.3Effect of deletion

Once your account is deleted, you will lose access to your transaction history, saved details, and any associated services. Pending or unresolved transactions may need to be completed or resolved before deletion can be finalised.

Customer Data and Data Protection

As between the parties, you retain all rights in and to your Customer Data. We process Customer Data in accordance with our Privacy Policy and applicable data protection law, including the Nigeria Data Protection Act, 2023. Where an Organisation submits Payer data to the Platform, the Organisation is responsible for ensuring it has a lawful basis to do so and for providing any required notices to its Payers.

Intellectual Property

The Services, the Platform, and all related software, technology, designs, text, graphics, logos, and trademarks (including the Flopay name and brand) are owned by I-Tech Platform Limited or its licensors and are protected by applicable intellectual property laws. Except for the limited right granted in Section 4, these Terms do not transfer any intellectual property rights to you. You may not modify, reproduce, distribute, create derivative works of, publicly display, republish, download, store, or transmit any material on the Service, except as expressly permitted by these Terms.

Third-Party Services and Links

The Services integrate with or rely on third-party products and services, including payment processors such as Monnify and Remita, and banking partners. Your use of those third-party services is governed by their own terms and privacy policies. We are not responsible for, and do not warrant, any third-party services, and your dealings with such third parties are solely between you and them. The Website and Services may also contain links to other third-party websites; we are not responsible for their content or privacy practices.

Service Availability and Support

We will use commercially reasonable efforts to make the Services available. However, we do not warrant that the Services will be uninterrupted, timely, secure, or error-free. We may carry out scheduled or emergency maintenance and will try to give reasonable notice of planned downtime where practicable.

Warranties and Disclaimers

Except as expressly stated in these Terms, the Services are provided "as is" and "as available," without warranties of any kind, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement, to the maximum extent permitted by applicable law.

Limitation of Liability

To the maximum extent permitted by applicable law:

  • neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or relating to these Terms or the Services, even if advised of the possibility of such damages; and
  • our total aggregate liability arising out of or relating to these Terms or the Services will not exceed the total fees retained by I-Tech from your transactions on the Platform in the twelve (12) months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud or fraudulent misrepresentation, or for death or personal injury caused by negligence.

Changes to the Services and These Terms

We may modify the Services or these Terms from time to time. For material changes to these Terms, we will provide reasonable notice (for example, by posting an updated version with a new "Last updated" date or by notifying you through the Services). Your continued use of the Services after the changes take effect constitutes your acceptance of the updated Terms.

Suspension and Termination

We may suspend or terminate your access to the Services, in whole or in part, if: (a) you materially breach these Terms and, where the breach is capable of remedy, fail to remedy it within a reasonable period after notice; (b) we reasonably believe your use poses a security, fraud, legal, or operational risk; or (c) we are required to do so by law. You may stop using the Services and request account deletion at any time as described in Section 10.

Indemnification

You agree to indemnify and hold harmless I-Tech Platform Limited and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and reasonable expenses (including legal fees) arising out of or relating to: (a) your use of the Services; (b) your Customer Data, including any claim that it infringes the rights of a third party or was processed unlawfully; (c) your breach of these Terms; or (d) your violation of any applicable law.

Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. In the event of a dispute, the parties will first attempt in good faith to resolve it through negotiation. If the dispute is not resolved within 30 days, it will be referred to and finally resolved by arbitration in accordance with the Arbitration and Mediation Act, 2023. The seat of arbitration will be Abuja, Nigeria, and proceedings will be conducted in English. Nothing in this Section prevents either party from seeking urgent injunctive or equitable relief from a competent court.

21

General

21.1Entire agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between the parties regarding the Services.

21.2Severability

If any provision is found unenforceable, the remaining provisions will remain in full force.

21.3Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

21.4Waiver

A failure to enforce any provision is not a waiver of our right to do so later.

21.5Relationship of the parties

Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between the parties.
